Honorable Marketing Digital Services Terms and Conditions

Welcome to the standard terms and conditions for digital agency marketing services provided by Honorable Marketing, a service trademark of Hashtag Smart Life LLC. These terms and conditions (referred to as the "Terms and Conditions of Services") apply to all digital marketing services (the "Digital Services") ordered by our clients ("Client") as part of the agreement (the "Agreement") to which these terms are attached or referenced. Terms not defined here will have the meanings assigned in the Agreement.

1. Term and Termination

The Digital Services will start on the date indicated in the Agreement and will continue for at least three (3) months. Either party can terminate the Agreement after this initial term by giving thirty (30) days' written notice. Post the initial term, the Agreement will continue month-to-month and can be terminated with thirty (30) days' written notice. If the minimum term is not met, a fee equivalent to one month's service will be due. Asset and content transition will occur as described in Section 14 after all fees are paid.

2. HIPAA Compliance

If the Client is a covered entity under HIPAA, they must notify Honorable Marketing in writing. The HIPAA Business Associate Addendum terms will then apply.

3. Changes to Terms and Conditions

Honorable Marketing may periodically update these Terms and Conditions, which will become effective on the date posted or indicated.

4. Rate Changes

Honorable Marketing reserves the right to change service rates with sixty (60) days' prior notice. In case of rate increases due to scope changes or third-party price increases, we will work with the Client to adjust features, costs, and delivery dates. Clients may terminate the affected services with thirty (30) days' prior notice in the event of a rate increase.

5. Definitions

  • Client: The end user purchasing Digital Services.
  • Client Data: Data or information accessed or analyzed during service delivery, including website and social media content, marketing materials, personal data, and more.
  • Seller: Honorable Marketing or its equivalent references in the Agreement.
  • Digital Services: Various digital marketing services provided by Honorable Marketing, such as SEO, social media, paid media, web development, and more.
  • Provider Parties: Honorable Marketing and its subcontractors, suppliers, and service providers.

6. Binding Contract

These Terms and Conditions form a binding contract containing important information regarding the Client's legal rights and obligations. Non-compliance can lead to immediate termination of services without prior notice.

7. Use of Client Data

Client authorizes Honorable Marketing to access and use Client Data for service delivery, ensuring compliance with all applicable laws. The Client must ensure their privacy policies and data collection practices are compliant.

8. Ownership and License Rights

Client must have all necessary rights to the Client Data provided to Honorable Marketing. The Client represents that their data does not contain defamatory or illegal content and does not infringe any third-party rights.

9. Indemnification

Client agrees to defend and indemnify Honorable Marketing and its affiliates from any claims arising from the Client Data or violations of applicable laws.

10. Disclaimer

Honorable Marketing provides Digital Services "as is" without warranties. We do not guarantee specific results or uninterrupted service.

11. Limited Liability

Honorable Marketing is not liable for any lost revenue, business, or profits, or any incidental, special, or consequential damages. Liability is limited to the amount paid for services in the six (6) months prior to a claim.

12. Confidentiality

Both parties must protect the confidentiality of each other's information and not disclose it without consent, except as required by law.

13. Non-Solicitation

The Client agrees not to hire or solicit Honorable Marketing employees for one (1) year after the end of the Agreement without prior written approval.

14. Asset and Content Transition

Ownership of content created by Honorable Marketing will transfer to the Client upon full payment. Specific terms for different services (organic, social, web, paid, etc.) are detailed in this section.

15. Agency Agreements

If an agency obtains services on behalf of a Client, the agency must have the authority to bind the Client to these terms. Both the Client and agency are jointly responsible for obligations under these terms.

Exhibit A: Description of Digital Services

Honorable Marketing offers a variety of Digital Services, including but not limited to:

  • Local SEO: Enhancing visibility on local search platforms.
  • Organic SEO: On-page optimization and content creation for organic traffic.
  • Content Creation: Research, writing, and optimization of onsite and blog content.
  • Website Design and Maintenance: Building and maintaining responsive websites.
  • Social Media Services: Managing and engaging on social platforms.
  • Reputation Management: Monitoring and responding to online reviews.
  • Paid Media: Managing pay-per-click and social media advertising.
  • Campaign Tracking: Implementing and managing tracking tools for campaigns.
  • Custom Services: Tailored services as per the client's specific needs.
  • First Party Data Services: Data collection and processing for remarketing.
  • Email Marketing: Designing and managing email campaigns.
  • Consent Management: Tools for managing data privacy and compliance.
